HOAshare operates the website https://www.hoashare.com (the "Website"), including any content or functionality offered on or through the Website, and HOAshare's services and user accounts, as well as any other related products and services that refer or link to these Terms of Service (collectively, the "Services").
These Terms of Service constitute a legally binding agreement between HOAshare INC and you ("You" or "Your"), or on behalf of an entity ("Subscriber"), concerning Your access to and use of the Services. You agree that by accessing the Services, or by clicking to accept or agree to these Terms when this option is made available to You, You have read, understood, and agreed to be bound by all of these Terms of Service and agree to comply with all applicable laws, rules, and regulations governing Your use of the Services. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
HOAshare reserves the right, in its sole discretion, to revise, modify, and supplement these Terms of Service at any time and for any reason. HOAshare will alert You about any changes by updating the "Last Updated" date of these Terms, and You waive any right to receive specific notice of each such change. Your continued use of the Services following any such update constitutes Your acceptance of the revised Terms.
You acknowledge that HOAshare, or applicable third parties, own all rights, title, and interest in and to the Services, including all intellectual property rights, and portions thereof, including but not limited to all source code, databases, functionality, software, website designs, audio, video, text, information, data, photographs, and graphics (collectively, the "Content"), as well as any trademarks, logos, and service marks ("Marks") displayed on the Website or through the Services. No title to any intellectual property rights of HOAshare or such third parties is transferred to You. You do not obtain any rights or licenses, express or implied, in the Content or Services other than those expressly granted in these Terms of Service. Any breach of these intellectual property rights will constitute a material breach of these Terms of Service and Your right to use the Services will terminate immediately. You are prohibited from using any Marks for any purpose without the prior written permission of HOAshare. You agree not to remove, obscure, or alter any copyright notice, trademark, or other proprietary rights notices belonging to HOAshare or any third parties that are affixed to or contained within the Services
Subject to Your compliance with these Terms of Service, HOAshare grants You a non- exclusive, non-assignable, non-transferable, revocable right and license to access and use the Services solely in accordance with these Terms of Service. Your right to access and use the Services is limited to the features and permissions available to You based on the account type and access level associated with Your registration. HOAshare reserves all rights not expressly granted to You in and to the Services, Content, Website, and Marks. Except as set out in these Terms of Service, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without HOAshare's express prior written permission.
You may be required to register to use the Services, including providing certain details about You and the entity on whose behalf You are accessing the Services. It is a condition of Your use of the Services that all information You provide is correct, current, and complete. You must ensure that all usernames and passwords required to access the Services are kept secure and confidential. You are solely responsible for all activity occurring under Your account credentials. You must immediately notify HOAshare of any unauthorized use of Your account or any other breach of security. HOAshare has the right to remove, reclaim, or disable any username or password at any time in its sole discretion.
By using the Services, You represent and warrant that: (1) all registration information You submit will be true, accurate, current, and complete; (2) You will maintain the accuracy of such information and promptly update it as necessary; (3) You have the legal capacity to agree to these Terms of Service; (4) You are not a minor in the jurisdiction in which You reside; (5) You will not access the Services through automated or non-human means; (6) You will not use the Services for any illegal or unauthorized purpose; and (7) Your use of the Services will not violate of the Services.
You may use the Services on behalf of a Subscriber in order to provide services to other persons or entities. You hereby warrant that (1) You are authorized to use the Services on behalf of Subscriber, (2) Subscriber complies with and accepts all terms of this Agreement, and (3) You have the authority to bind Subscriber to this Agreement. If Your use of the Services requires You to authorize or invite users (e.g., HOA members or community stakeholders) to access or use the Services on behalf of Subscriber (each an "Authorized User"), You understand and agree that Authorized Users must agree to these Terms of Service before being granted access. You are responsible for informing Authorized Users of these Terms of Service. As between You and Subscriber, Subscriber owns all User Data (as defined in Section 13) provided by You or Subscriber's Authorized Users to HOAshare. Subscriber determines the level of access granted to each Authorized User and may revoke or change such access at any time.
You agree to provide current, complete, and accurate account and payment information for all purchases or transactions made via the Services. You further agree to promptly update such information so that HOAshare can complete transactions and contact You as needed. All payments shall be in U.S. dollars. HOAshare may offer various access plans, features, and services, some of which may be subject to fees. The applicable fees, billing frequency, and payment terms will be presented to You at the time You subscribe to or activate such features. HOAshare reserves the right to change its pricing at any time, with notice provided to You as described in these Terms. Where You authorize recurring payments, You consent to HOAshare charging Your payment method on a recurring basis without requiring Your prior approval for each recurring charge, until You cancel. All fees due in connection with the Services are non-refundable except as otherwise expressly stated in these Terms or required by applicable law. Certain features of the Services may involve the collection or processing of payments on Your behalf or between parties using the Platform. HOAshare may charge fees in connection with such payment activity, which will be disclosed to You at or before the time such fees are incurred. HOAshare acts solely as a technology platform facilitating such transactions and is not a party to any underlying financial obligation between users. All sums not paid when due shall be subject to any applicable late fees or interest charges as stated in Your account terms. In the event You fail to pay any sum when due, HOAshare reserves the right to suspend or cancel Your account and pursue all available legal remedies. In the event You wish to contest or dispute any charge by HOAshare, You must provide written notice of such dispute to HOAshare within sixty (60) days of the date on which the applicable charge was incurred.
HOAshare may, at its discretion, offer a free trial period to new users for the purpose of evaluating the Services. Any such trial is subject to the then-current trial terms presented at sign-up. You are under no obligation to continue using the Services after a trial period ends. If You choose to continue after a trial, applicable fees will begin accruing as described at the time of enrollment. If not canceled prior to the end of the trial or initial term, Your subscription may automatically renew in accordance with the then-current billing terms.
You may not access or use the Services for any purpose other than that for which HOAshare makes the Services available. As a user of the Services, You agree not to: • Systematically retrieve data or Content from the Services to create or compile a collection, database, or directory without written permission from HOAshare. • Trick, defraud, or mislead HOAshare and other users, especially in any attempt to obtain sensitive account information. • Circumvent, disable, or otherwise interfere with security-related features of the Services. • Disparage, tarnish, or otherwise harm HOAshare and/or the Services. • Use any information obtained from the Services to harass, abuse, or harm another person. • Use the Services in a manner inconsistent with any applicable laws or regulations. • Upload or transmit viruses, Trojan horses, or any other material that interferes with the uninterrupted use of the Services. • Engage in any automated use of the system, including scripts, bots, data mining, or similar data gathering tools. • Attempt to impersonate another user or person, or use another user's credentials. • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services. • Copy or adapt the Services' software, including but not limited to HTML, JavaScript, or other underlying code. • Use the Services as part of any effort to compete with HOAshare, or use the Services for any unauthorized revenue-generating or commercial enterprise. • Make any unauthorized use of the Services, including collecting usernames or email addresses for the purpose of sending unsolicited communications.
By directly sending HOAshare any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), You agree to assign and do hereby assign to HOAshare all intellectual property rights in such Submission. HOAshare shall own such Submissions and be entitled to their unrestricted use for any lawful purpose, without acknowledgment or compensation to You. The Services may provide You with the opportunity to create, submit, post, display, transmit, or publish content and materials to HOAshare or on the Services, including but not limited to text, video, audio, photographs, graphics, comments, or personal information (collectively, "Contributions"). You are responsible for what You post or upload, and by doing so You represent and warrant that: • Your Contributions do not infringe the intellectual property or other proprietary rights of any third party. • You are the creator and owner of, or have the necessary rights and permissions to submit, Your Contributions. • Your Contributions are not false, inaccurate, misleading, illegal, harassing, defamatory, obscene, or otherwise objectionable. • Your Contributions do not violate the privacy or publicity rights of any third party. • Your Contributions do not violate any provision of these Terms of Service or any applicable law or regulation. HOAshare has the right, but not the obligation, to review, edit, or remove any Contributions at any time without notice if HOAshare determines, in its sole discretion, that such Contributions are harmful or in breach of these Terms.
By posting Contributions to any part of the Services, You automatically grant HOAshare an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully- paid, worldwide right and license to host, use, copy, reproduce, distribute, publish, transmit, display, reformat, translate, and exploit such Contributions for any purpose, commercial or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions. You retain full ownership of all of Your Contributions and any associated intellectual property rights. HOAshare does not assert any ownership over Your Contributions. Notwithstanding the foregoing, HOAshare reserves the right, in its sole discretion, to edit, redact, re-categorize, pre- screen, or delete any Contributions at any time and for any reason, without notice.
HOAshare reserves the right, but not the obligation, to: (1) monitor the Services for violations of these Terms of Service; (2) take appropriate legal action against anyone who, in HOAshare's sole discretion, violates the law or these Terms; (3) refuse, restrict access to, limit the availability of, or disable any of Your Contributions or any portion thereof; (4) remove from the Services or otherwise disable all files and content that are excessive in size or burdensome to HOAshare's systems; and (5) otherwise manage the Services in a manner designed to protect HOAshare's rights and property and to facilitate the proper functioning of the Services.
The Services may contain links, features, or functions provided by third parties ("Third-Party Services"), including but not limited to payment processing providers. These Third-Party Services are provided as a convenience only. HOAshare is not responsible for Your access to or use of any Third-Party Services, and does not review, approve, monitor, endorse, or make any representations with respect to them. Access to or use of Third-Party Services is at Your own risk. You acknowledge that Third-Party Service providers may have their own terms and privacy policies that govern Your use of their services, and HOAshare expressly disclaims any liability associated with such Third-Party Services.
HOAshare will maintain certain data that You or Subscriber's Authorized Users transmit to the Services to manage the performance of the Services, as well as data relating to Your use of the Services (collectively, "User Data"). Although HOAshare performs regular backups of User Data, You are solely responsible for all User Data that You transmit or that relates to any activity You have undertaken using the Services. Upon cancellation, termination, or expiration of Your account or the Services, User Data will be preserved for thirty (30) days (the "Retention Period") and, upon request, made available to You within a commercially reasonable timeframe. After the Retention Period, such User Data may be permanently deleted from HOAshare's servers. HOAshare has no obligation to retain User Data after the Retention Period, unless otherwise prohibited by law.
HOAshare cares about data privacy and security. Please review our Privacy Policy, available on our Website, to understand how we collect, use, and protect Your personal information. By using the Services, You consent to the data practices described in our Privacy Policy, which is incorporated into these Terms by reference.
These Terms of Service shall remain in full force and effect while You use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, HOASHARE RESERVES THE RIGHT TO, IN ITS SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION. HOASHARE MAY TERMINATE YOUR ACCOUNT AND ANY ASSOCIATED CONTENT OR INFORMATION AT ANY TIME, WITHOUT WARNING, IN ITS SOLE DISCRETION. You may terminate Your use of the Services at any time by contacting HOAshare at support@hoashare.com. Your termination will take effect at the end of the current paid term, if applicable. HOAshare will not provide any refund for any remaining prepaid period upon voluntary termination. If HOAshare terminates or suspends Your account for any reason, You are prohibited from registering a new account under Your name, a false name, or the name of any third party. All provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, disclaimers, indemnification, and dispute resolution.
HOAshare cannot guarantee that the Services will be available at all times. HOAshare may experience hardware, software, or other problems, or may need to perform maintenance, resulting in interruptions, delays, or errors. HOAshare reserves the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice. HOAshare has no liability whatsoever for any loss, damage, or inconvenience caused by Your inability to access or use the Services during any downtime or discontinuance.
These Terms of Service and Your use of the Services are governed by and construed in accordance with the laws of the State of Texas, United States, and applicable federal law, without regard to any conflict of law provisions. You waive any and all objections to the exercise of jurisdiction over You by the state and federal courts located in Austin, Texas, and to venue in such courts.
Informal Negotiations To expedite resolution and control the cost of any dispute, controversy, or claim arising out of or related to the use of the Services or these Terms of Service (each a "Dispute"), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other. Binding Arbitration If the parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), available at https://www.adr.org/. The arbitration may be conducted in person, through submission of documents, by phone, or online. The arbitration will take place in Austin, Texas, unless the parties otherwise agree. Restrictions The parties agree that any arbitration shall be limited to the Dispute between the parties individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. EXCEPT AS OTHERWISE PROVIDED HEREIN, YOU HEREBY IRREVOCABLY WAIVE ALL RIGHT TO TRIAL, INCLUDING TRIAL BY JURY, IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT. Exceptions The following Disputes are not subject to the above arbitration provisions: (a) any Disputes seeking to enforce or protect the intellectual property rights of a party; (b) any Dispute arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. You agree that any claim or cause of action arising out of or related to Your use of the Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. HOASHARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND ACCURACY. HOASHARE MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE CONTINUOUS, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. HOASHARE IS NOT RESPONSIBLE FOR THE ACCURACY, TIMELINESS, OR RELIABILITY OF ANY CONTENT GENERATED THROUGH OR POSTED TO THE SERVICES BY ANY PARTY OTHER THAN HOASHARE.
YOU AGREE THAT NEITHER HOASHARE, NOR ANY OF ITS AFFILIATES, AGENTS, OFFICERS, DIRECTORS, OR EMPLOYEES, WILL BE LIABLE TO YOU OR ANY THIRD PARTY, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES, EVEN IF HOASHARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Notwithstanding anything to the contrary, the maximum aggregate liability of HOAshare and its affiliates, agents, officers, directors, and employees to You for any cause whatsoever and regardless of the form of action will be the greater of (a) twenty dollars ($20) or (b) the total fees paid by You to HOAshare in the two (2) months prior to the event giving rise to the claim.
You, on behalf of Subscriber, agree to defend, indemnify, and hold harmless HOAshare INC, and its affiliates, officers, employees, directors, representatives, and agents, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made or brought by You or any third party due to or arising out of: (1) Your Contributions or Submissions; (2) use of the Services by You or Your Authorized Users; (3) Your violation of these Terms of Service; (4) any breach of Your representations and warranties; (5) infringement or violation of any third-party rights; or (6) any harmful act toward any other user connected via the Services. HOAshare reserves the right to assume exclusive control of the defense of any matter subject to indemnification by You, and You agree to fully cooperate with HOAshare in such defense.
HOAshare implements reasonable technical and organizational measures to protect the security of Your data and the integrity of the Services. To the extent that You store, process, or transmit payment cardholder data through the Services, HOAshare adheres to applicable Payment Card Industry Data Security Standards ("PCI DSS"). You agree to comply with all applicable security requirements in connection with Your use of the Services.
Visiting the Services, sending HOAshare emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and You agree that all agreements, notices, disclosures, and other communications that HOAshare provides to You electronically satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED VIA THE SERVICES.
HOAshare shall not be responsible for delays, nonperformance, damages, or other losses caused directly or indirectly by any event beyond its reasonable control, including but not limited to acts of God, fires, earthquakes, floods, wars, labor disputes, communication failures, legal constraints, power outages, or data transmission failures.
These Terms of Service, together with our Privacy Policy and any other terms and conditions posted on the Website, constitute the entire agreement between You and HOAshare with respect to the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found by a court of competent jurisdiction to be contrary to law, such provision shall be construed as nearly as possible to reflect the original intentions of the parties, and the remaining provisions shall remain in full force and effect.
HOAshare's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by HOAshare in writing.
HOAshare may assign, delegate, or otherwise transfer any or all of its rights and obligations under these Terms at any time without restriction. You may not assign, delegate, or transfer Your rights or obligations under these Terms without HOAshare's prior written consent, and any such prohibited assignment shall be null and void.
Your use of the Services does not create a joint venture, partnership, employment, or agency relationship between You and HOAshare. You shall not represent in any way that You are in partnership with, or have any employment or agency relationship with, HOAshare.
If any complaint with HOAshare or the Services is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
